Terms of Service

These Terms of Service ("Terms") govern your access to and use of the WOCOM Enterprise AI dialler platform ("Platform") operated by WOCOM Limited ("WOCOM Enterprise", "we", "us", or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the WOCOM Enterprise platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and WOCOM Limited.

We reserve the right to modify these Terms at any time. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Description of Service

WOCOM Enterprise provides an AI-powered dialler platform designed for outbound calling operations. Our services include, but are not limited to:

  • AI-driven outbound calling with automated speech recognition and text-to-speech capabilities.
  • Campaign management tools for organising and executing calling campaigns.
  • Call recording, transcription, and analytics dashboards.
  • Lead and contact management with import and assignment features.
  • Real-time reporting and performance metrics.
  • Integration with third-party SIP trunk providers for call routing.

We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time, with or without notice.

3. Account Registration & Security

To use the Platform, you must register for an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials, including your password.
  • All activities that occur under your account, whether or not authorised by you.
  • Notifying us immediately of any unauthorised access or security breach at legal@wocomenterprise.com.

We reserve the right to suspend or terminate accounts that we believe have been compromised or are being used in violation of these Terms.

4. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Platform for any illegal calling activities, including but not limited to fraud, harassment, or threats.
  • Send unsolicited bulk calls (spam) or make calls to numbers on any applicable Do Not Call registry without proper authorisation.
  • Violate any applicable local, national, or international law or regulation, including but not limited to the Telephone Consumer Protection Act (TCPA), Fair Debt Collection Practices Act (FDCPA), or any equivalent legislation in your jurisdiction.
  • Misrepresent your identity, affiliation, or the purpose of your calls.
  • Attempt to gain unauthorised access to the Platform, other user accounts, or any related systems or networks.
  • Use the Platform in any way that could damage, disable, or impair its operation or interfere with other users' access.

Violation of this section may result in immediate suspension or termination of your account without refund.

5. SIP Trunk & Telephony

The WOCOM Enterprise platform integrates with third-party SIP trunk providers for call routing and telephony services. You acknowledge and agree that:

  • You are responsible for procuring, configuring, and maintaining your own SIP trunk connections and associated accounts with your chosen SIP provider.
  • You are solely responsible for ensuring that your Caller ID (CLI) information is accurate, lawful, and compliant with all applicable regulations in the jurisdictions where calls are placed.
  • WOCOM Enterprise is not liable for call quality issues, outages, or disruptions caused by your SIP trunk provider or network conditions beyond our control.
  • Any costs associated with SIP trunk usage, per-minute calling charges, or telephony services from your SIP provider are your responsibility and are separate from WOCOM Enterprise subscription fees.

6. Payment Terms

Access to the Platform is provided on a subscription basis. By subscribing, you agree to the following:

  • Billing Cycle: Subscriptions are billed monthly. Your billing cycle begins on the date of your initial subscription and renews automatically each month unless cancelled.
  • Pricing Tiers: Our platform offers multiple pricing tiers based on features, usage limits, and the number of agent seats. Current pricing is available on our website or upon request.
  • Payment: All fees are due at the start of each billing cycle. Failure to pay may result in suspension or termination of your account.
  • Cancellation: You may cancel your subscription at any time through your account dashboard or by contacting us. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial billing periods.
  • Price Changes: We may adjust pricing with at least 30 days' written notice. Continued use after a price change constitutes acceptance of the new pricing.

7. Intellectual Property

All content, features, and functionality of the WOCOM Enterprise platform, including but not limited to software, code, design, text, graphics, logos, and trademarks, are the exclusive property of WOCOM Limited and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use the Platform for the duration of your subscription, solely for your internal business purposes. You may not copy, modify, distribute, reverse-engineer, decompile, or create derivative works based on the Platform or any part thereof.

Any data, recordings, or content you upload to or generate through the Platform remains your property. You grant us a limited licence to process, store, and transmit your content solely as necessary to provide the services.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • WOCOM Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform.
  • Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the total fees you paid to us in the twelve (12) months preceding the claim.
  • We are not responsible for any losses resulting from regulatory actions, fines, or penalties arising from your use of the Platform, including non-compliance with calling regulations.

9. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice, including but not limited to the following circumstances:

  • Breach of these Terms or any applicable law or regulation.
  • Non-payment of fees after a reasonable grace period.
  • Conduct that we determine, in our sole discretion, is harmful to other users, third parties, or our business interests.

Upon termination, your right to use the Platform ceases immediately. We will retain your data for a period of 30 days following termination, after which it may be permanently deleted. You may request an export of your data during this retention period.

10. Governing Law

These Terms shall be governed by and construed in accordance with the Laws of Jamaica, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Jamaica.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
